These Terms and Conditions (the “Terms”), together with any policies incorporated by reference, including our Privacy Policy (the “Privacy Policy”) and Returns Policy (the “Returns Policy”) made available on our website (collectively, the “Policies”), govern your access to and use of the website located at https://canvatar.io (the “Site”) and the products and services offered through the Site (collectively, the “Services”).
These Terms constitute a binding and enforceable legal agreement between Canvatar LLC (“Company,” “we,” “us,” or “our”) and you (“you” or “Customer”). By accessing or using the Site, or by placing an order through the Site, you agree to be bound by these Terms and the Policies. If you do not agree, you must not use the Site or the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity, and “you” will refer to such entity.
1. Definitions
- Content means any files, data, materials, images, photographs, text, and information submitted, uploaded, or otherwise provided by you through the Services, including Inputs and any other information associated with your order.
- Input means the information and materials you provide for personalization, including (without limitation) a child's photo, age, and gender, and any text you submit.
- Output means any content generated by or through AI Features based on your Input, including previews, mockups, and final artwork files.
- AI Features means features that utilize artificial intelligence and/or machine learning to generate or transform content, including images and text.
- Product(s) means made-to-order physical products sold through the Site, including personalized printed canvas artwork.
- Order means a request to purchase Products through the Site.
- Third-Party Services means any services, products, software, or applications provided by third parties that support or interoperate with the Services, including payment processors, analytics, hosting, manufacturing/printing, shipping carriers, and third-party AI providers.
- User Data means data relating to your use of the Site and Services, including contact details, order details, and payment-related information (processed by third-party payment processors), device and usage data (e.g., IP address, browser type), and other information described in our Privacy Policy.
2. The Services
2.1 Service Description
The Services enable you to create and purchase personalized canvas artwork generated or enhanced using AI, based on Inputs you provide, and to have the finished Product manufactured and shipped to a U.S. address.
2.2 Service Changes
We may update the Services from time to time, including adding, modifying, or removing features. We do not guarantee that any specific feature will remain available.
2.3 Checkout-Only Experience
The Services are provided through direct checkout (no subscription required).
3. Use of Data and Privacy
3.1 Privacy Policy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to the collection and use of User Data as described in these Terms and the Privacy Policy.
3.2 Use of User Data
We may collect and use User Data to provide and improve the Services, operate our business, provide customer support, monitor performance, prevent fraud and security issues, comply with law, and for other legitimate business purposes consistent with our Privacy Policy.
3.3 Retention and Deletion of Child Photos
You acknowledge and agree that:
- You may upload a child's photo as Input for personalization; and
- We delete the child's photo from our databases after the Product is shipped, except to the extent we must retain limited records to comply with legal obligations, resolve disputes, enforce agreements, or as otherwise described in our Privacy Policy (for example, order records without retaining the original photo).
4. AI Features
4.1 Third-Party AI Providers
Some features of the Services utilize AI Features enabled by third-party AI providers. We do not permit third-party AI providers to use your Inputs to train or improve their foundation or large language models where contractual controls and settings are available to us; however, the exact processing depends on the third-party provider and the configurations available at the time of processing, as further described in our Privacy Policy.
4.2 Your Responsibilities for Input
You are solely responsible for the legality, accuracy, and appropriateness of your Input. You represent and warrant that:
- You have the right to upload and submit the Input;
- You have obtained all necessary consents from any parent/legal guardian or rights-holder to submit the Input (including a child's photo) for the purposes of creating the Product; and
- Your Input does not infringe or violate any third-party rights, including privacy, publicity, and intellectual property rights.
4.3 Output Limitations
You acknowledge that:
- Output may contain errors, may not be unique, and may vary based on the Input;
- Previews are approximations and the final Product may differ slightly in color, cropping, or placement due to printing and production; and
- You are responsible for reviewing Output/previews and ensuring the Order details are correct before completing your Order.
4.4 Prohibited Uses
You agree not to use the AI Features or Services for unlawful, harmful, infringing, deceptive, or otherwise prohibited purposes, including submitting content you do not have the right to use.
5. Orders, Personalization, and Production
5.1 Made-to-Order Products
Products are custom-made based on your Input and selections (e.g., style, theme, sizing). You are responsible for ensuring all details are correct at checkout.
5.2 Order Acceptance and Refusal
We may refuse, cancel, or limit any Order in our reasonable discretion, including where we believe the Input:
- violates these Terms or applicable law;
- infringes intellectual property or privacy rights; or
- includes inappropriate, unsafe, or exploitative content, including content involving minors.
5.3 Colors and Materials
Colors may appear differently on screen and on printed materials. Minor variations are not considered defects.
6. Fees, Payment, and Taxes
6.1 Payment Terms
You authorize us (and our payment processors) to charge your selected payment method for all amounts due in connection with your Order, including applicable shipping and taxes.
6.2 Third-Party Payment Processing
Payments are processed by Third-Party Services. We do not store full payment card details on our servers.
6.3 Taxes
We may collect sales tax where required by law. Prices displayed may not include taxes unless explicitly stated.
7. Shipping and Delivery (U.S. Only)
7.1 Shipping Scope
We currently ship only to addresses within the United States.
7.2 Delivery Estimates
Delivery dates are estimates and not guaranteed. We are not responsible for delays caused by shipping carriers, weather, or other factors beyond our reasonable control.
7.3 Title and Risk of Loss
Title and risk of loss transfer as permitted by applicable law and may transfer upon delivery to the carrier.
8. Returns, Refunds, and Replacements
8.1 Custom-Made Items
Because Products are personalized, we do not accept returns for change of mind, incorrect selections made by you, or minor variations described in Section 5.3.
8.2 Damaged or Defective Products
If your Product arrives damaged or defective, you must contact us within 14 days of delivery at hi@canvatar.io and provide your order number and supporting photos.
8.3 Remedy
For eligible damaged/defective claims, our primary remedy is reprinting and reshipping the Product. Refunds may be provided only where required by law or where reprinting is not feasible, in our reasonable discretion.
9. Your Content and License
9.1 License to Use Input
You grant the Company a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and use your Input and Content solely as necessary to:
- Provide the Services;
- Create the Output; and
- Manufacture, fulfill, and deliver your Order.
9.2 Ownership of Input
Except for the limited license granted above, you retain ownership of your Input and Content.
9.3 Public Display (Only with Express Permission)
We may wish to display certain finished creations (for example, mockups or photographs of Products) for marketing or portfolio purposes. We will only do so with your express authorization (for example, by an affirmative opt-in or written permission). If you grant permission, you may revoke it prospectively by contacting us at hi@canvatar.io.
10. Intellectual Property Rights
10.1 Our Intellectual Property
The Site, Services, and all related technology, designs, templates, workflows, software, and branding (excluding your Input) are owned by the Company and its licensors and are protected by intellectual property laws.
10.2 Personal, Non-Commercial License
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable license to use the Output and any delivered digital preview(s) for personal, non-commercial use only, such as personal display, gifting, or sharing with friends/family.
You may not sell, sublicense, distribute for commercial gain, or use the Output in advertisements, merchandising, or other commercial contexts without our prior written consent.
10.3 Feedback
If you provide suggestions or feedback, you grant the Company a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the Services without compensation to you.
11. Acceptable Use and Restrictions
You agree that you will not:
- use the Services in violation of any applicable law or regulation;
- submit Input that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, exploitative, or otherwise inappropriate, especially content involving minors;
- attempt to interfere with or disrupt the Site or Services;
- reverse engineer, decompile, or attempt to extract source code or underlying models from the Services;
- use automated scraping or data mining without our written permission.
We may suspend or refuse service to anyone who violates these Terms.
12. Copyright Policy (DMCA)
We respect the intellectual property rights of others. If you believe that content on the Site infringes your copyright, you may submit a DMCA notice by emailing hi@canvatar.io with the following information:
- Identification of the copyrighted work claimed to be infringed;
- Identification of the material claimed to be infringing and information reasonably sufficient to locate it;
- Your contact information (address, telephone number, and email);
- A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf;
- Your physical or electronic signature.
